Form 1065 Is Due Soon
Partnership tax returns are due March 15 for calendar-year filers, a full month before individual and C-corp deadlines. An extension pushes this to September 15, but each partner still needs their K-1 to file on time.
Get Free ConsultationPartnership Tax Filing Built for Every Partner, Not Just One Return
Partnership tax works differently than a single-owner filing. Profit, loss, and credits all pass through based on each partner’s share, and every partner needs their own accurate K-1 before they can file personally. Our partnership tax preparation keeps Form 1065 and every K-1 correct, so nothing holds up your partners’ individual returns.

What Filing as a Partnership Actually Means
A partnership doesn't pay income tax itself. Here's what actually happens to the numbers once your business has more than one owner.
Pass-Through, No Entity-Level Tax
The partnership itself files an informational return. Profit and loss pass through to each partner's personal return based on their ownership share, with no tax paid at the entity level.
Every Partner Gets Their Own K-1
Each partner receives a Schedule K-1 showing their specific share of income, deductions, and credits, which they then report on their own Form 1040.
Allocations Can Be Flexible
Unlike an S-corp, partnerships can allocate profit, loss, and specific items differently than straight ownership percentage, when the partnership agreement supports it.
Credits Reduce Basis, Not Just Tax
Credits and losses that pass through to a partner reduce that partner's basis in the partnership. Most credits and distributions lower basis, which matters for how much loss a partner can actually deduct.
Foreign Partners Add Withholding Rules
A partnership with foreign partners may trigger withholding obligations under Forms 8804 and 8805 that a domestic-only partnership never deals with.
Is a Partnership Tax Return the Right Fit?
Not every multi-owner business should file as a partnership by default. Here's how to tell if it's the right call for you.
When a partnership tax return makes sense
If two or more people co-own an unincorporated business, or if your LLC has more than one member, you're generally required to file a partnership tax return by default. A multi-member LLC is taxed as a partnership automatically unless it elects otherwise.
When it doesn't apply
A single-member LLC is a disregarded entity by default and reports on the owner's personal return using Schedule C, not Form 1065. Partnership filing only applies once there are two or more members.
When an S-corp election might work better
If your partners are also actively working in the business and pulling significant profit out each year, an S-corp election can reduce self-employment tax exposure in a way a straight partnership can't. This isn't automatic though, and comes with reasonable salary rules of its own. Worth a conversation before you file, not after.
The real question isn't whether
Multi-member LLCs and general partnerships almost always start here by default. The real question isn't whether to file as a partnership, it's whether staying that way is still the right call as the business grows.
Does Your State Require a Partnership Tax Return?
Federal Form 1065 is only half the picture. State requirements vary widely, here's how a few of the most-asked-about states handle it.
Florida
No State ReturnNo separate state income tax return is required for most general partnerships, since Florida has no personal or corporate income tax on pass-through entities. A corporate partner can still trigger a Florida Form F-1065 filing requirement.
Michigan
No Standalone ReturnMichigan doesn't require a standalone partnership return, but nonresident partners may need to be included on a composite return, and the partnership can elect into Michigan's Flow-Through Entity tax.
Ohio
Filing RequiredOhio requires pass-through entity filings (IT 1140, IT 4708, or IT 4738 depending on the election), generally due April 15 for calendar-year filers.
Wyoming
No State ReturnWyoming has no personal or corporate income tax, so there's no state partnership return, though an annual license fee and report still apply.
State rules change and depend on where your partners live, not just where the business operates. We confirm your specific state exposure during your consultation.

FAQs
What is partnership tax?
Partnership tax refers to how a partnership’s profit and loss pass through to its partners instead of being taxed at the entity level. The partnership files an informational return, Form 1065, and each partner reports their share on their personal return.
What form do I need for a partnership tax return?
Form 1065, U.S. Return of Partnership Income, along with a Schedule K-1 for each partner showing their individual share of income, deductions, and credits.
How do I file a partnership tax return?
You’ll need your partnership agreement, each partner’s ownership percentage, financial statements, and prior-year returns if applicable. From there, Form 1065 is prepared, K-1s are generated for each partner, and the return is filed with the IRS and any required states.
Can I file a partnership tax return online?
Yes. Our process is fully remote. You upload your financials through our secure portal, we prepare your 1065 and K-1s, and you review everything before we file, no in-person visit required.
When are partnership tax returns due, including with an extension?
For calendar-year partnerships, Form 1065 is due March 15. A valid extension using Form 7004 pushes that to September 15.
Can a single-member LLC file a partnership tax return?
No. A single-member LLC is a disregarded entity for federal tax purposes and reports on Schedule C of the owner’s personal return. Partnership filing requires two or more members.
Is an LLC taxed as a partnership?
A multi-member LLC is taxed as a partnership by default, unless the LLC elects to be taxed as an S-corp or C-corp instead.
Can you amend a partnership tax return?
Yes. Amended partnership returns are filed differently depending on whether the partnership is subject to the centralized partnership audit regime, which applies to most partnerships since 2018. We handle the correct amendment method based on your specific filing history.
Do credits reduce partnership tax basis?
Yes. Credits, along with distributions and losses passed through to a partner, generally reduce that partner’s basis in the partnership, which affects how much future loss they can deduct.
How is a partnership taxed?
A partnership itself doesn’t pay federal income tax. Profit, loss, deductions, and credits pass through to each partner based on their ownership share or agreed allocation, and each partner pays tax on their share at their own individual rate.
How much tax do I have to pay in a partnership?
There’s no separate “partnership tax rate.” Each partner pays tax on their share of the partnership’s income at their own personal income tax rate, and may also owe self-employment tax on their share if they’re actively involved in the business.
What about a foreign partnership tax return?
A partnership with foreign partners may need to withhold and report on Forms 8804 and 8805 for income effectively connected with a U.S. trade or business. Rules differ depending on treaty status and partner residency, this is worth a specific consultation rather than a general answer.
