If two or more people co-own an unincorporated business, or if your LLC has more than one member, you're generally required to file a partnership tax return by default. A multi-member LLC is taxed as a partnership automatically unless it elects otherwise.

A single-member LLC is a disregarded entity by default and reports on the owner's personal return using Schedule C, not Form 1065. Partnership filing only applies once there are two or more members.

Consider Instead

When an S-corp election might work better

If your partners are also actively working in the business and pulling significant profit out each year, an S-corp election can reduce self-employment tax exposure in a way a straight partnership can't. Florida

No State Return

No separate state income tax return is required for most general partnerships, since Florida has no personal or corporate income tax on pass-through entities. A corporate partner can still trigger a Florida Form F-1065 filing requirement.

Michigan

No Standalone Return

Michigan doesn't require a standalone partnership return, but nonresident partners may need to be included on a composite return, and the partnership can elect into Michigan's Flow-Through Entity tax.

Ohio

Filing Required

Ohio requires pass-through entity filings (IT 1140, IT 4708, or IT 4738 depending on the election), generally due April 15 for calendar-year filers.

Wyoming

No State Return

Wyoming has no personal or corporate income tax, so there's no state partnership return, though an annual license fee and report still apply.
