These Terms of Service (“Terms”) govern your use of the website and services provided by Simple Consulting Services LLC (“SCS,” “we,” “us,” or “our”), a New Mexico limited liability company. By accessing our website or engaging our services, you agree to these Terms.
1. Our Services
SCS provides business support services including:
- ▸Business formation and registration support (LLC, C-Corp, S-Corp, and related filings)
- ▸Individual and business tax preparation support
- ▸Monthly bookkeeping and financial management
- ▸Virtual CFO and advanced financial advisory support
- ▸Website development, digital marketing, and related business services
All deliverables are prepared by our team of human specialists and managed through a single dedicated point of contact assigned to your account.
2. Important Professional Disclaimer
SCS provides administrative support, compliance management, and strategic planning services. We are not a law firm and we are not a certified public accounting firm. Our services do not constitute formal legal counsel or certified CPA advice. Where licensed professional sign-off is required, we coordinate with qualified professionals in our partner network. 3. Client Responsibilities
To deliver accurate work, we rely on you. You agree to:
- ▸Provide complete, accurate, and timely information and documents
- ▸Review all deliverables, filings, and reports before final submission or approval
- ▸Notify us promptly of changes to your business, ownership, or financial situation
- ▸Maintain the confidentiality of any account credentials or client portal access
- ▸Use our services only for lawful business purposes
You remain solely responsible for the accuracy of information you provide. SCS is not liable for errors, penalties, or delays resulting from incomplete or inaccurate information supplied by you.
4. Engagement, Fees, and Payment
- ▸Service scope: Each engagement is defined by the package or proposal you accept, including one-time project fees and monthly retainers.
- ▸Payment terms: One-time fees are due before work begins unless otherwise agreed in writing. Monthly retainers are billed in advance at the start of each billing cycle.
- ▸Government and state fees: Filing fees charged by state or federal agencies are separate from our service fees and are non-refundable once paid to the agency.
- ▸Late payment: We reserve the right to pause work on accounts with overdue balances. Repeated non-payment may result in termination of the engagement.
- ▸Price changes: Retainer pricing may be adjusted with at least 30 days written notice.
Refunds and cancellations are governed by our Refund & Cancellation Policy.
5. Turnaround Times and Deadlines
We work diligently to meet all filing and delivery deadlines. However, turnaround times depend on timely receipt of your information, government processing times, and third-party platforms. SCS is not responsible for delays caused by state agencies, the IRS, banks, or other third parties.
6. Confidentiality
We treat your business, financial, and tax information as strictly confidential. We will not disclose your information except as described in our Privacy Policy, as required to perform your services, or as required by law.
7. Intellectual Property
- ▸All content on our website, including text, branding, graphics, and materials, is the property of SCS and may not be copied or reused without written permission.
- ▸Upon full payment, deliverables created specifically for you (such as websites, reports, or marketing materials) become your property.
- ▸Internal templates, processes, and methodologies used to create deliverables remain the property of SCS.
8. Limitation of Liability
To the maximum extent permitted by law:
- ▸SCS’s total liability for any claim arising from our services shall not exceed the amount you paid for the specific service giving rise to the claim during the three months preceding the claim.
- ▸SCS shall not be liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost revenue, or business interruption.
- ▸SCS is not liable for penalties, interest, or assessments resulting from inaccurate or incomplete information provided by the client, or from client failure to review and approve filings.
9. Indemnification
You agree to indemnify and hold harmless SCS, its members, managers, and team from any claims, damages, or expenses arising from your breach of these Terms, your violation of law, or inaccurate information you provide.
10. Termination
- ▸Either party may terminate a monthly engagement with 30 days written notice.
- ▸We may suspend or terminate services immediately for non-payment, fraudulent activity, abusive conduct toward our team, or unlawful use of our services.
- ▸Upon termination, you will receive all completed deliverables for which payment has been made, and we will provide reasonable transition support for your records.
11. Dispute Resolution and Governing Law
These Terms are governed by the laws of the State of New Mexico, without regard to conflict of law principles. The parties agree to first attempt to resolve any dispute informally through good faith negotiation. If unresolved, disputes shall be settled through binding arbitration or small claims court as permitted by law.
12. Changes to These Terms
We may update these Terms from time to time. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms. Active clients will be notified of material changes.
